1. Introduction

Welcome to AEO Guru (“we”, “us”, “our”). These Terms and Conditions (“Terms”) govern your use of the AEO Guru SaaS platform, including our website, services, and related tools (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Definitions

  • Service – The AEO Guru online platform, including web application, APIs, and related services.
  • User / You – Any person or legal entity using the Service.
  • Account – Your registered profile with AEO Guru.
  • Subscription – Paid or free plan giving access to specific features.
  • Content – Data, text, queries, brand names, and other material submitted or generated within the Service.
  • LLM Providers – Third-party AI platforms such as OpenAI, Anthropic, Perplexity, etc.
  • Supabase – Our hosted database and authentication provider.
  • Stripe – Our payment processor.

3. Eligibility

You must:

  • Be at least 18 years old
  • Have legal authority to enter into a binding agreement
  • Provide accurate registration information

We reserve the right to refuse access to the Service at our discretion.

4. Account Registration & Security

  • Registration is required to use most features.
  • You must keep your login credentials secure.
  • You are responsible for all activity under your account.
  • Notify us immediately of unauthorized use.

5. Subscriptions & Payments

5.1 Plans & Pricing

We offer:

  • Free Plan – 1 brand, 10 keywords, weekly updates, €0/month
  • Pro Plan – Unlimited brands & keywords, daily updates, €29/month

Plan details and prices are available on our website and may be updated with notice.

5.2 Billing & Payment

  • Payments are processed via Stripe.
  • We do not store full credit card details.
  • Subscriptions auto-renew unless cancelled before the next billing date.

5.3 Cancellations & Refunds

  • You may cancel anytime via your account settings.
  • No refunds for partial billing periods, except where required by law.

6. Acceptable Use

You agree not to:

  • Use the Service for unlawful, harmful, or fraudulent purposes
  • Submit content that infringes intellectual property rights
  • Attempt to access data you do not own
  • Interfere with or disrupt Service operation
  • Circumvent usage limits or security features

We may suspend or terminate accounts violating this section.

7. Data & Content

7.1 Your Content

  • You retain ownership of content you submit.
  • You grant us a limited license to process, store, and display your content as needed to operate the Service.

7.2 Our Data

  • We own all rights to aggregated and anonymized analytics generated from the Service.

7.3 LLM Providers

  • Queries and related data may be transmitted to third-party LLM providers.
  • We configure these providers to opt-out of training where possible.

8. Service Availability

  • We strive for high availability but do not guarantee uninterrupted service.
  • Maintenance, upgrades, or provider outages may cause temporary downtime.

9. Intellectual Property

  • The Service, including code, design, and branding, is owned by us or licensed to us.
  • You may not copy, modify, or create derivative works without our written consent.

10. Third-Party Services

Our Service integrates with:

  • Supabase (hosting/authentication)
  • Stripe (payments)
  • LLM APIs (query processing)

We are not responsible for the availability, accuracy, or conduct of these services.

11. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages.
  • Our total liability is limited to the amount paid by you in the 12 months before the claim.

12. Indemnification

You agree to indemnify and hold us harmless from claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your infringement of any rights of a third party

13. Termination

We may terminate or suspend your account if you:

  • Breach these Terms
  • Fail to pay subscription fees
  • Engage in prohibited activities

Upon termination:

  • Your right to use the Service ends immediately
  • Data may be deleted after 30 days

14. Changes to Terms

We may modify these Terms at any time with notice via email or the Service. Continued use after changes means you accept the new Terms.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of Luxembourg. Disputes will be subject to the exclusive jurisdiction of the courts of Luxembourg City.
